Welcome to ezypayr. These Terms and Conditions (“Terms”) govern your use of the ezypayr website, platform, and related services (“Services”). By accessing or using ezypayr, you agree to these Terms. If you do not agree, please discontinue use immediately.

1. Definitions

“We,” “Our,” “Us” refers to ezypayr and its parent entity Quantum Innovation Australia Pty Ltd (and any affiliated companies, including ezypayr LLC in the United States).
“You” or “User” means any individual, business, or government entity accessing or using our Services.
“Platform” refers to the ezypayr application, website, APIs, and related services.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use ezypayr. Businesses and government entities must ensure that the person registering has authority to act on their behalf.

3. Services Provided

ezypayr provides a smart invoicing and compliance platform that allows Users to:

Create invoices with embedded 3D barcodes.
Process payments across multiple rails (bank, card, crypto, CBDCs).
Sync with accounting software, compliance systems, and tax authorities.
Access ESG and financial risk scoring tools.
Maintain immutable blockchain audit trails.

We may update, expand, or restrict services at our discretion.

4. User Responsibilities

You agree to:

Provide accurate and lawful information in invoices and transactions.
Maintain the confidentiality of your account credentials.
Comply with all applicable laws, including tax, financial, and data protection regulations.
Not use ezypayr for unlawful, fraudulent, or prohibited activities.

5. Fees and Payments

Use of ezypayr may involve SaaS subscription fees, transaction fees, or API licensing charges.
Fees will be displayed before purchase or transaction execution.
All payments are non-refundable unless required by law.

6. Compliance and Regulatory Disclaimers

ezypayr is designed to assist with tax compliance, audit readiness, and ESG reporting. However:

Users remain fully responsible for compliance with applicable tax, accounting, and regulatory obligations.
ezypayr does not provide legal, accounting, or financial advice.

7. Data & Privacy

ezypayr collects and processes data as outlined in our Privacy Policy.
By using our Services, you consent to secure data sharing with payment providers, accounting platforms, and government APIs where required.
We use encryption, blockchain, and secure protocols to safeguard data but cannot guarantee absolute security.

8. Intellectual Property

All ezypayr software, designs, trademarks, and patents (pending or granted) are the exclusive property of Quantum Innovation Australia Pty Ltd and/or affiliated entities.
Users are granted a non-exclusive, non-transferable right to use ezypayr Services in accordance with these Terms.

9. Limitation of Liability

To the maximum extent permitted by law:

ezypayr is provided “as is” and we make no guarantees of uninterrupted or error-free operation.
We are not liable for indirect, incidental, or consequential damages (including loss of profits, data, or business opportunities).
Our total liability shall not exceed the fees paid by you in the last 12 months.

10. Termination

We reserve the right to suspend or terminate your access to ezypayr if you:

Breach these Terms;
Engage in unlawful or fraudulent activities;
Endanger the security or integrity of our platform.

11. Governing Law

For Users in Australia, these Terms are governed by the laws of New South Wales, Australia.
For Users in the United States, these Terms are governed by the laws of Delaware (or Wyoming, if incorporated there).

12. Amendments

We may update these Terms from time to time. Continued use of ezypayr after changes constitutes acceptance of the revised Terms.
